Terms of Service

1. Acceptance of Terms

By installing, accessing, or using the WalSeller Pro Chrome extension ("Extension," "Service," or "WalSeller Pro"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Extension.

These Terms constitute a legally binding agreement between you and Tukribish LLC ("Company," "we," "us," or "our"), the developer and operator of WalSeller Pro.

2. Description of Service

WalSeller Pro is a Chrome browser extension designed to help Walmart sellers:

• Calculate product profitability and margins
• Estimate monthly sales based on product data
• Analyze market intelligence and competition
• Compare fulfillment options (WFS vs FBA)
• Scan products in bulk via CSV upload
• Auto-fill Walmart Seller Central forms

The Extension operates on Walmart.com product pages and Walmart Seller Central.

3. Beta Period and Pricing

3.1 Free Beta Access

During the beta period (until February 28, 2026), all users receive free access to all features of WalSeller Pro. No payment or credit card is required during this period.

3.2 Subscription Pricing

After the beta period ends, continued use of WalSeller Pro requires a paid subscription:

• Monthly Plan: $14.99/month (or $7.49/month for Early Bird users)
• Yearly Plan: $149.00/year (or $74.50/year for Early Bird users)

3.3 Early Bird Discount

Users who install WalSeller Pro during the beta period are eligible for permanent 50% Early Bird pricing. This discount is locked to your account and never expires.

3.4 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

4. License and Usage Rights

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use WalSeller Pro for your personal or business use as a Walmart seller.

4.2 License Restrictions

You may NOT:

• Share, sell, or transfer your license key to others
• Reverse engineer, decompile, or disassemble the Extension
• Modify, adapt, or create derivative works based on the Extension
• Use the Extension for any illegal or unauthorized purpose
• Attempt to bypass license validation or security measures
• Use automated systems to abuse or overload our services
• Scrape or harvest data from our Extension for commercial purposes

4.3 License Key

Each subscription includes one (1) license key. License keys are tied to your email address and may only be used by you. Using a license key on multiple devices is permitted for personal use only.

5. User Responsibilities

By using WalSeller Pro, you agree to:

• Provide accurate information when subscribing
• Keep your license key confidential
• Comply with Walmart's terms of service and seller policies
• Use the Extension responsibly and ethically
• Not use the Extension to violate any laws or regulations
• Take responsibility for your own selling decisions

6. Data and Accuracy Disclaimer

6.1 No Guarantee of Accuracy

WalSeller Pro provides estimates and calculations based on publicly available data. We do NOT guarantee the accuracy, completeness, or reliability of:

• Sales estimates
• Profit calculations
• Fee estimates
• Market intelligence data
• Any other information provided by the Extension

6.2 Use at Your Own Risk

All business decisions based on information from WalSeller Pro are made at your own risk. We are not responsible for any financial losses, missed opportunities, or negative outcomes resulting from your use of the Extension.

6.3 Third-Party Data

Some data displayed by the Extension is sourced from Walmart.com and other third-party sources. We are not responsible for changes, errors, or inaccuracies in third-party data.

7. Intellectual Property

7.1 Ownership

WalSeller Pro, including all code, designs, features, documentation, and content, is owned by Tukribish LLC and protected by intellectual property laws.

7.2 Trademarks

"WalSeller Pro" and our logo are trademarks of Tukribish LLC. You may not use our trademarks without prior written permission.

7.3 Third-Party Trademarks

Walmart, Amazon, and other company names mentioned are trademarks of their respective owners. WalSeller Pro is not affiliated with or endorsed by Walmart Inc. or Amazon.com, Inc.

8. Cancellation and Refunds

8.1 Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You will retain access until the end of your current billing period
• Your license key will be deactivated after the billing period ends
• No further charges will be made to your payment method

8.2 Refund Policy

We offer a 7-day money-back guarantee for new subscribers. If you're not satisfied within the first 7 days of your subscription, contact us at en@tukribishllc.com for a full refund.

Refunds are not available after the 7-day period or for renewal payments.

9. Service Availability

9.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted access to WalSeller Pro. The Service may be temporarily unavailable due to:

• Maintenance and updates
• Technical issues or bugs
• Changes to Walmart.com
• Third-party service outages
• Circumstances beyond our control

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any feature of the Extension at any time, with or without notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WALSELLER PRO IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE PAST 12 MONTHS

11. Indemnification

You agree to indemnify and hold harmless Tukribish LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of WalSeller Pro
• Your violation of these Terms
• Your violation of any third-party rights
• Your selling activities on Walmart or other platforms

12. Termination

We may terminate or suspend your access to WalSeller Pro immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or abusive behavior
• Your payment method fails and is not updated
• We are required to do so by law

Upon termination, your license will be revoked and you must stop using the Extension.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of WalSeller Pro shall be resolved in the courts located in Broward County, Florida.

14. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date and notify users via email or in-app notification.

Your continued use of WalSeller Pro after changes are posted constitutes your acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Tukribish LLC regarding WalSeller Pro and supersede all prior agreements.
